NON-COMMERCIAL TERMS OF USE

IMPORTANT: PLEASE READ THE FOLLOWING CAREFULLY. Use of the document you have been provided access to (the “Document”) is subject to the terms and conditions set out below (“Terms of Use”). These Terms of Use form an agreement between you, or the entity you represent, and the Health Standards Organization. If you are entering into this Agreement for an entity (e.g., such as the company you work for) you represent that you have the legal authority to bind that entity.

The Document is provided by Health Standards Organization. All right, title and interest in and to the Document, including without limitation all content therein and all copies thereof, is owned by the Health Standards Organization and/or its licensors, may constitute a compilation of, or contain, papers, studies, documents and material owned by third parties (individually and collectively, “References”), and is protected by copyright and other intellectual property rights in Canada and around the world.


You are authorized by this Agreement to download, use, and reproduce a reasonable number of copies of the Document (in whole or in part) for information purposes only, provided you also reproduce all associated copyright notices, citations, authorship attributions and permission statements. If you are an individual, then your authorized use above is restricted to your personal use only. If you are a company or other legal entity, then your authorized use above includes permission to reproduce, retransmit and redistribute a reasonable number of copies of the Document (physically or using a digital network), but only for internal use within your organization. All other use, reproduction and other exploitation of the Document is prohibited without express written permission of the Health Standards Organization.


You are solely responsible for your use and reproduction of References (in whole or in part) independent of the Document under these Terms of Use, including without limitation securing permission from the owner(s) of rights in such materials.


Except as otherwise specifically provided above (or except as otherwise expressly permitted by Health Standards Organization or, as applicable, the owner(s) of any References), you may not: (i) use the Document for any other purpose (including without limitation for commercial purposes); (ii) reproduce, retransmit, reprint or distribute the Document, in whole or in part, including without limitation any References, to any other person or entity; (iii) modify, amend or translate the Document, in whole or in part; (iv) remove, modify or obscure any trade names, trademarks or copyright notices included in or on the Document; or (v) combine the Document, in whole or in part, with any other materials or in or with any software.


The Document, including without limitation the References, is for informational purposes only and does not constitute medical or healthcare advice, is provided “as is” without warranty of any kind, whether express or implied, including without limitation any warranties of suitability or merchantability, fitness for purpose, non-infringement of intellectual property rights, or that the contents are complete, accurate, up to date, error free, or free of any defects, deficiencies or omissions. In no event shall the Health Standards Organization and/or its licensors be liable to you or any other individual or entity for any direct, indirect, incidental, special or consequential damages whatsoever arising out of or in connection with the Document and/or the use or other exploitation thereof (including without limitation lost profits, anticipated or lost revenue, loss of data, loss of use of any information system, failure to realize expected savings or any other economic loss, or any third party claim), whether arising in negligence, tort, statute, equity, contract (including without limitation fundamental breach), common law, or any other cause of action or legal theory even if advised of the possibility of those damages.


If you do not accept these Terms of Use you may not download, use or reproduce the Document. Your failure to comply with any of these Terms of Use shall entitle the Health Standards Organization to immediately terminate your right to use the Document.


Alternate terms regarding the use, reproduction, and other exploitation of the Document may apply to persons who have entered into alternate agreements with HSO, its affiliates and/or their respective licensees. Such alternate terms (if any) shall take precedence over these Terms and Conditions to the extent of any conflict. Ask your organization to advise you of any alternate terms that apply to the Document.


Nothing in this these Terms of Use shall be construed or deemed to assign or transfer to you any right, title or interest in or to the Document, including without limitation the References, any content or copies thereof, or intellectual property rights therein.
